These Terms apply in addition to any such agreement. In the event of a conflict, the signed service agreement shall take precedence.

No Guarantee of Results: While we are committed to delivering high-quality strategic and operational outcomes, MindMix BC does not guarantee specific business results. Outcomes depend on numerous factors, including client implementation, market conditions, and organizational variables beyond our control.

5. Consultation Requests

Submitting a consultation request through our website does not create a client relationship or any obligation on the part of MindMix BC to provide services. An engagement is only established upon execution of a formal written agreement and receipt of any required retainer or initial payment.

6. Fees & Payment

• All fees for services are outlined in the applicable service agreement or SOW
• Invoices are due within the timeframe specified in your agreement
• Late payments may be subject to interest or suspension of services as outlined in your agreement
• All fees are non-refundable unless otherwise stated in writing

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information, business data, strategies, systems, and communications shared during an engagement. MindMix BC takes confidentiality seriously as a core principle of our private partnership model.

Confidentiality obligations survive the termination of any engagement and remain in effect indefinitely unless otherwise agreed in writing.

8. Intellectual Property & Deliverables

Client-Owned Deliverables: Upon full payment of all fees, deliverables specifically created for a client as outlined in a signed SOW become the property of the client.

MindMix BC Retained IP: MindMix BC retains all rights to its proprietary methodologies, frameworks, processes, tools, and pre-existing intellectual property used in delivering services. Nothing in these Terms or any service agreement transfers ownership of such IP to the client.

License: Where MindMix BC IP is incorporated into client deliverables, we grant the client a non-exclusive, non-transferable license to use such IP solely for their internal business purposes.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• MindMix BC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our website or services
• Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by you to MindMix BC in the three (3) months preceding the claim
• We are not liable for any loss of profits, revenue, data, business opportunities, or goodwill

10. Indemnification

You agree to indemnify, defend, and hold harmless MindMix BC, its principals, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any third-party rights
• Any content or information you provide to us

11. Disclaimer of Warranties

Upon termination, all provisions of these Terms that by their nature should survive — including confidentiality, intellectual property, limitation of liability, and indemnification — shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MindMix BC operates, without regard to its conflict of law provisions.
